A Power of Attorney is a legal instrument that is used to delegate legal authority to another referred to as an "attorney-in-fact" or an "agent.". The person who gives the power is called the Principal.  These instruments generally come in two flavors - a financial power of attorney (sometimes called a general or durable power of attorney), and a health care power of attorney (sometimes called a health care proxy).

These two Powers of Attorney are essential to every estate plan.  Typically, they allow another designated person to make financial and health care decisions if you are not able to yourself.
